Terms of Service for GOFLIC

1. Acceptance of Terms

By accessing or using the GOFLIC mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

GOFLIC reserves the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification. Your continued use of the App after changes constitutes acceptance of the modified Terms.

2. Description of Service

GOFLIC is a social platform that connects people through shared entertainment experiences. The App allows users to:

• Create and host events (movies, TV shows, games, sports, etc.)
• Discover and RSVP to events hosted by others
• Connect with other users through chat and messaging
• Submit and screen indie films
• Upgrade events to featured status (paid feature)
• Access location-based event discovery

3. Eligibility

You must be at least 13 years old to use GOFLIC. If you are under 18, you must have parental or guardian consent. By using the App, you represent that you meet these requirements.

4. Account Registration

4.1 Account Creation

To use certain features, you must create an account by providing:

• Valid email address
• Secure password
• Username
• Name and location information

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

5. User Conduct

5.1 Prohibited Activities

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Harass, threaten, or harm other users
• Post false, misleading, or fraudulent content
• Spam or send unsolicited messages
• Use the App for commercial purposes without authorization
• Attempt to hack, reverse engineer, or compromise the App
• Create fake accounts or impersonate others
• Post inappropriate, offensive, or explicit content
• Discriminate based on race, religion, gender, or other protected characteristics

5.2 Event Hosting Responsibilities

If you host events, you agree to:

• Provide accurate event information
• Ensure your event complies with local laws and regulations
• Respect attendees' safety and privacy
• Honor bookings and RSVPs
• Not charge attendees beyond what is disclosed in the event listing

5.3 Indie Film Submissions

If you submit indie films, you agree to:

• Own or have rights to the content you submit
• Grant GOFLIC a non-exclusive license to host and promote your film
• Ensure your content does not violate copyright, trademark, or other rights
• Comply with content guidelines and age ratings

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of content you post (photos, event descriptions, messages, films). By posting content, you grant GOFLIC a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with the App.

6.2 GOFLIC's Content

The App, including its design, features, and functionality, is owned by GOFLIC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute our content without permission.

6.3 Third-Party Content

The App displays content from third-party sources (TMDB, RAWG, BoardGameGeek). This content is owned by those third parties and subject to their terms of use.

6.4 Copyright Infringement

We respect intellectual property rights. If you believe content on the App infringes your copyright, contact us at support@goflic.com with:

• Description of the copyrighted work
• Location of the infringing content
• Your contact information
• A statement of good faith belief
• A statement under penalty of perjury that the information is accurate

7. Payments and Fees

7.1 Featured Events

Hosts may upgrade events to "featured" status for a fee (currently $4.99). Featured events receive enhanced visibility in the App.

7.2 Platform Fees

GOFLIC charges a platform commission (currently 3%) on certain transactions to cover operational costs.

7.3 Payment Processing

All payments are processed securely through Stripe. By making a payment, you agree to Stripe's Terms of Service.

7.4 Refunds

• Featured event upgrades are non-refundable once processed
• Refunds for other transactions are handled on a case-by-case basis

7.5 Taxes

You are responsible for any applicable taxes on transactions made through the App.

8. Privacy

Your use of the App is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your information.

9. Location Services

The App uses location data to provide nearby event discovery and geocoding features. You can control location permissions in your device settings. Disabling location may limit certain features.

10. Disclaimers and Limitations of Liability

10.1 "AS IS" Service

The app is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2 No Guarantee

We do not guarantee that:

• The App will be uninterrupted, secure, or error-free
• Events listed will occur as described
• Other users will behave appropriately
• Content from third-party APIs will be accurate

10.3 Limitation of Liability

To the maximum extent permitted by law, GOFLIC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of the app.

In no event shall GOFLIC's total liability exceed the amount you paid to GOFLIC in the past 12 months, or $100, whichever is greater.

10.4 User Interactions

GOFLIC is not responsible for the conduct of other users, whether online or offline. You assume all risks associated with meeting or interacting with other users.

11. Indemnification

You agree to indemnify and hold harmless GOFLIC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Content you post on the App

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of California, USA, without regard to conflict of law principles.

12.2 Arbitration

Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration, except where prohibited by law. You waive your right to a jury trial or class action lawsuit.

12.3 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or violation of confidentiality obligations.

13. Termination

13.1 Your Right to Terminate

You may delete your account at any time through the App settings or by contacting us.

13.2 Our Right to Terminate

We may suspend or terminate your access to the App at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse or harassment of other users
• Non-payment of fees
• Any other reason at our sole discretion

13.3 Effect of Termination

Upon termination:

• Your right to use the App immediately ceases
• We may delete your account and content
• Sections of these Terms that should survive (e.g., indemnification, disclaimers) remain in effect

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and GOFLIC.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our consent. We may assign these Terms to any affiliate or successor.

14.5 Force Majeure

GOFLIC is not liable for any failure to perform due to circumstances beyond our reasonable control (e.g., natural disasters, war, pandemics).
